LegalTerms of Service
Terms of Service.
The agreement between PalletRow and the businesses that use it — written to be read, not just signed. The short version: try it free, pay monthly, cancel whenever, and your data stays yours.
Effective September 30, 2026
The agreement
PalletRow is operated by Exutory Solutions, a Minnesota business (“Exutory Solutions”, “we”, “us”). These Terms of Service (the “Terms”) are the agreement between us and the business that opens a PalletRow workspace (“you”, the “Customer”). They cover the PalletRow website, the app at app.palletrow.com, its API, and any related support we provide (together, the “Service”).
By creating a workspace, choosing a plan, or using the Service, you accept these Terms. If you are accepting on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not use the Service.
PalletRow is built for businesses. It is not intended for personal, family or household use.
Accounts and your team
You need an account to use the Service. You agree to give accurate information, keep it current, and keep sign-in credentials secret. Each person signs in as themselves; accounts may not be shared.
The person who opens a workspace is its owner and can invite others and decide what they can see and do. You are responsible for the people you invite, for what they do in your workspace, and for removing access when someone leaves. Tell us promptly at [email protected] if you believe an account has been compromised.
Free trial
A new workspace starts with a 14-day free trial of the Growth plan. No payment card is required to start a trial, and you will not be charged unless you choose a plan.
When a trial ends without a plan being chosen, the workspace becomes restricted: recording (such as sales, receiving and counts) and data exports keep working, but most other screens are unavailable until a plan is chosen. We may end or decline trials that appear to be abusive or duplicative.
Plans, billing and taxes
Paid plans are billed monthly, in advance, at the prices shown on palletrow.com/pricing or in a written quote from us. Payments are processed by Stripe; by subscribing you authorize us, through Stripe, to charge your payment method each month until you cancel.
Subscriptions renew automatically each month. If you choose a plan during a trial, billing begins when the remaining trial days end.
Each plan includes the store and user allowances published for it. If your use exceeds your plan, we may ask you to move to a plan that fits. Implementation, data-loading or training services are quoted separately and in writing.
Prices do not include taxes. You are responsible for any sales, use or similar taxes that apply, other than taxes on our income.
We may change our prices. We will give you at least 30 days’ notice by email, and a new price takes effect at your next renewal after that notice. A price we have locked in writing for a set term is not changed during that term.
If a payment fails and is not resolved, the workspace may become restricted in the same way as an expired trial until the account is brought current.
Cancellation and refunds
You can cancel at any time from Settings → Billing in the app, or by emailing us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Fees are non-refundable, and we do not give refunds or credits for partial months or unused allowances, except where required by law or where we agree otherwise in writing.
Your data
You own the data you and your team put into PalletRow — your products, costs, vendors, sales, schedules, records and files (“Customer Data”). You give us a limited permission to host, copy, process and display Customer Data only as needed to provide, secure and support the Service for you, and as described in our Privacy Policy.
You are responsible for having the right to put Customer Data into the Service, including any personal information about your staff or your customers, and for giving any notices or getting any consents the law requires of you.
You can export your catalog, history and reports at any time, including while a workspace is restricted. After a workspace is closed or a subscription ends, we keep Customer Data for 30 days so you can export it. After that, we delete it within 90 days of the workspace closing, or sooner if the workspace owner asks us in writing at [email protected]. Copies in backups are deleted as those backups age out on their normal schedule.
We do not sell Customer Data, and we do not use it to train artificial-intelligence models.
The assistant and other automated suggestions
PalletRow includes an AI assistant and automated suggestions, such as reorder quantities, forecasts and price recommendations. They are tools to support your decisions, not a substitute for them. They can be wrong or incomplete, and you are responsible for reviewing their output before relying on it.
Changes the assistant proposes are subject to the same permissions and approvals as changes made by a person, and each action is recorded against the person who asked for it. To answer a request, the relevant question and data are processed by our AI provider, as described in the Privacy Policy.
Acceptable use
You agree not to, and not to let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, or to store content you have no right to store;
- try to reach another customer’s data, or probe, scan or test the Service’s security without our written permission;
- interfere with or overload the Service, or get around its limits, approvals or access controls;
- copy, resell, or build a competing product from the Service, or reverse engineer it except where the law allows;
- send spam or malicious code through the Service, including through purchase-order emails or integrations.
Other services you connect
The Service can connect to point-of-sale systems and other third-party services you choose, such as Square, Clover or Shopify. Your use of those services is governed by their own terms. We are not responsible for them, and we may need to change or stop an integration if the third party changes or ends its service.
Availability and support
We work to keep the Service available, secure and backed up, and to fix problems promptly, but we do not promise it will be uninterrupted or error-free. We may perform maintenance, and we may change or improve features over time; we will not intentionally remove a core feature you rely on without reasonable notice.
Support is provided by email at [email protected] during normal business hours (Central Time). Any uptime or response commitment beyond this applies only if we agree to it in writing.
Security and confidentiality
We protect Customer Data with administrative, technical and physical safeguards appropriate to its nature, including tenant isolation enforced by the database, role-based access, audit logging and encryption in transit. Our Security page describes these in detail.
Each of us will keep the other’s non-public business information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.
Our property and your feedback
We own the Service, including its software, design and documentation, and all improvements to it. These Terms give you the right to use the Service while your subscription or trial is active; they do not transfer ownership of anything to you.
If you send us suggestions or feedback, we may use them without any obligation to you.
Suspension and termination
You may stop using the Service and cancel at any time. We may suspend or end your access if you materially breach these Terms and do not cure the breach within 10 days of notice, if you do not pay, or immediately where needed to prevent harm to the Service, to other customers, or to comply with the law.
When access ends, the sections that by their nature should continue — including those on your data, fees owed, disclaimers, limitation of liability and governing law — continue to apply.
Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.
PalletRow helps you run your store; it does not provide accounting, tax, legal or regulatory advice. You remain responsible for your prices, labels, tax and benefit-program compliance, food-safety obligations and business decisions.
Limitation of liability
To the fullest extent the law allows, neither party is liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused, even if advised of the possibility.
To the fullest extent the law allows, each party’s total liability arising out of or relating to these Terms is limited to the amounts you paid us for the Service in the 12 months before the event giving rise to the claim. These limits do not apply to your obligation to pay fees, to either party’s indemnity obligations, or to liability that cannot be limited by law.
Indemnity
You will defend and indemnify us against third-party claims arising from Customer Data you had no right to provide, or from your use of the Service in breach of these Terms or the law. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual-property rights.
Changes to these Terms
We may update these Terms from time to time. If a change is material, we will email the workspace owner at least 30 days before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms; if you do not, you may cancel before then.
Governing law
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and each party consents to their jurisdiction.
General
These Terms, together with our Privacy Policy and any order or quote we both sign, are the entire agreement between us about the Service. If a signed agreement conflicts with these Terms, the signed agreement controls.
If any part of these Terms is found unenforceable, the rest remains in effect. Not enforcing a term is not a waiver of it. You may not assign these Terms without our consent, except to a successor to your business; we may assign them to an affiliate or a successor to our business. Neither party is responsible for delays caused by events beyond its reasonable control.
We send notices to the email address of the workspace owner. You can send notices to us at [email protected]. Our Privacy Policy is at https://palletrow.com/privacy.
